Terms & Conditions

• "Services" means the Adminformatics software-as-a-service products (Research Logix, Form Logix, Cancer Logix, and any related tooling) made available to your institution.
• "Institution" or "you" means the organization that has entered into an agreement with Adminformatics for access to the Services.
• "Users" means the individuals authorized by your institution to access the Services under your subscription.
• "Institution Data" means all data submitted to, created in, or imported into the Services by your institution or its users.

Subject to your institution's compliance with these terms and payment of applicable fees, Adminformatics grants your institution a non-exclusive, non-transferable right to access and use the Services during the subscription term for your internal research administration purposes.

You are responsible for ensuring that all users comply with these terms. Access credentials are institution-specific and may not be shared outside of your organization.

You agree not to:

• Use the Services in a way that violates applicable laws or regulations.
• Attempt to reverse engineer, decompile, or derive the source code of any part of the Services.
• Use the Services to process data categories not disclosed in your data handling agreement.
• Resell, sublicense, or otherwise make the Services available to third parties not covered by your agreement.
• Introduce malicious code or attempt to disrupt the integrity or availability of the Services.

Your institution retains all rights to Institution Data. Adminformatics does not own your data and processes it only as necessary to provide the Services under your agreement.

You are responsible for the accuracy, quality, and legality of Institution Data, and for obtaining any necessary consents from individuals whose data you submit to the Services.

Adminformatics retains all rights, title, and interest in the Services, including all software, documentation, and underlying technology. Nothing in these terms grants your institution any ownership rights in the Services or Adminformatics intellectual property.

Feedback or suggestions you provide about the Services may be used by Adminformatics to improve the platform without any obligation to you.

Each party agrees to hold in confidence any non-public information of the other party designated as confidential or that reasonably should be understood to be confidential given its nature. Confidentiality obligations survive termination for a period of three years.

Institution Data is treated as confidential information of your institution. Adminformatics will not disclose it except as required to provide the Services or as required by law.

The Services are provided "as is" and "as available." Adminformatics disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of security vulnerabilities.

To the maximum extent permitted by applicable law, neither party will be liable to the other for any indirect, incidental, special, consequential, or punitive damages arising out of or related to these terms or the Services.

Adminformatics's aggregate liability for any claims arising under these terms will not exceed the fees paid by your institution in the twelve months preceding the claim.

These terms remain in effect for the duration of your subscription as set forth in your order form or Master Service Agreement. Either party may terminate for material breach with 30 days written notice if the breach is not cured within that period.

Upon termination, your access to the Services ends and Adminformatics will delete Institution Data within 90 days per our data retention policy.

These terms are governed by the laws of the State of South Carolina, without regard to its conflict of law provisions. Any disputes arising under these terms will be resolved in the state or federal courts located in Greenville County, South Carolina.
